Since you've just clicked on our terms of service, please take a moment, grab a cup of coffee or tea, and carefully read the following pages. This should take approximately 20 minutes.

These terms and conditions apply to all visitors, users and others who wish to access or use the GRIDIX platform.

You acknowledge that you have read and understood the Public Offer Agreement and the Privacy Policy and agree to comply with them.

If you do not agree with the terms (or are unable to comply with them), you may not use the GRIDIX platform. In this case, please notify us by email at info@gridix.live, so we can try to find a solution.

GRIDIX Public Offer

on providing access to the GRIDIX platform (version 1.0)

1. General Provisions

1.1. This document is an official proposal (public offer) of the company GRIDIX (hereinafter referred to as Company) to enter into an agreement on the terms and conditions set out below with any capable natural or legal person (hereinafter referred to as User).

1.2. Acceptance of this Offer shall be deemed to be any of the following actions:

  • User registration on the GRIDIX platform;
  • subscription payment;
  • actual use of the GRIDIX platform functionality.

1.3. From the moment of acceptance of the Offer, the agreement is considered concluded in electronic form and does not require signature on paper.

2. Terms and definitions

GRIDIX platform — a software package (SaaS), including a web interface, mobile applications, API and AI modules, designed to automate sales processes, transaction support and services in the real estate sector, GRIDIX services on domains gridix.live и app.gridix.live, as well as their language versions and subdomains.

Exclusive rights (intellectual property) to the GRIDIX Platform (name, title, software algorithms and codes of the Platform) belong to Gridixlive LLC and are protected by copyright, trademark and intellectual property rights of international law. 

User — an individual or legal entity that has registered and/or uses the functionality of the GRIDIX Platform.

Developer / Agent / Agency / Client — categories of Users operating within the GRIDIX Platform, while GRIDIX does not determine or control their relationships with each other.

Content — any data, materials, real estate objects, documents, images, texts, etc., uploaded by Users.

Subscription — provision of paid access to the functionality of the GRIDIX Platform for a specified period.

AI modules — algorithms and automated tools for analysis and recommendations used in the GRIDIX Platform.

3. Subject of the agreement

3.1. The Company provides the User with access to the GRIDIX Platform in accordance with the selected tariff plan (a non-exclusive, non-transferable, non-assignable in any form, limited-term right to use the GRIDIX Platform).

3.2. The GRIDIX platform provides tools:

  • real estate management (interactive chessboard, etc.);
  • digital showcases and presentations;
  • technical support for the User;
  • analytics and reporting;
  • automation of processes;
  • AI recommendations.

3.3. GRIDIX does not provide real estate, legal, financial or investment services.

3.4. IMPORTANT! The Company is not responsible for the accuracy of data or any content posted by Users, legal jurisdiction, or the legitimacy or validity of the information posted. It does not verify the jurisdiction of Users or their properties. To prevent unlawful, fraudulent, or criminal activity, third parties (clients) assume responsibility for verifying legal compliance and requesting the necessary supporting documentation from GRIDIX platform Users.

4. GRIDIX Status and Disclaimer

4.1 GRIDIX is exclusively technological platform and software supplier.

4.2. GRIDIX is not:

  • party to real estate transactions;
  • agent, broker, representative or attorney of Users;
  • seller, developer or buyer of real estate;
  • financial or payment intermediary.

4.3. All transactions, settlements, contracts and obligations arise exclusively between Users and third parties, without the participation of GRIDIX.

5. Registration and account

5.1. The User undertakes to provide accurate information upon registration. 

5.2. The User is fully responsible for the safety of the account data.

5.3. The Company has the right to:

  • suspend access;
  • limit functionality;
  • block or delete an account if the terms of the Offer or the law are violated.
6. Content and User Data

6.1. The User independently posts the Content and guarantees the availability of rights to use it.

6.2. GRIDIX does not perform preliminary verification of the authenticity of the Content.

6.3. The User is fully responsible for:

  • data accuracy;
  • the safety of your login and password and unauthorized access to your account on the GRIDIX Platform;
  • compliance with legislation;
  • violation of the rights of third parties.

6.4. GRIDIX reserves the right to remove Content that violates the terms of the Offer or legal requirements.

6.5. The User confirms the Company's right to use the User's logo and other data for placement on the GRIDIX Platform and in other marketing materials and events for the purposes of advertising the Company.

7. AI modules and automatic recommendations

7.1. AI modules provide recommendations for informational purposes only.

7.2. AI work results:

  • do not constitute legal, financial or investment advice;
  • do not guarantee commercial results.

7.3. The user and third parties make decisions on one's own and at your own risk.

8. Subscription, tariffs and payment

8.1. Access to the GRIDIX Platform is provided on the basis of a paid Subscription.

8.2. Current rates are published on the GRIDIX Platform. Any change to the Subscription price will take effect at the end of the current billing period.

8.3. Payment for the Subscription is made in advance.

8.4. Refunds are governed by the Refund Policy posted on the Company's platform.

8.5. The Company may provide additional services on the GRIDIX Platform for the User's internal technical processes. Such services are provided by the Company based on additional fees.

9. Limitation of Liability

9.1 The GRIDIX platform is provided on a contractual basis “AS IS” ("as is").

9.2. GRIDIX does not guarantee:

  • uninterrupted operation;
  • absence of errors;
  • achieving financial or commercial results.

9.3. GRIDIX's maximum liability is limited to the amount actually paid by the User for the Subscription for the last paid period. Lost profits will not be reimbursed. 

9.4. The Company may suspend the operation of the GRIDIX Platform to carry out necessary scheduled/unscheduled maintenance and repair work.

10. Force majeure

10.1. GRIDIX shall be released from liability for failure to fulfill obligations due to force majeure circumstances, including, but not limited to:

  • actions of government agencies;
  • sanctions;
  • infrastructure failures;
  • wars, epidemics, service shutdowns.
11. Personal data and privacy

11.1. Personal data is processed in accordance with the GRIDIX Privacy Policy.

11.2. The User and third parties agree to the cross-border transfer of data.

12. Term and Termination

12.1. The Agreement is valid from the moment of acceptance until the termination of use of the GRIDIX Platform, with regard to data processing in accordance with the Privacy Policy.

12.2. GRIDIX has the right to terminate the agreement unilaterally in case of violation of the terms of the Offer.

13. Applicable law and jurisdiction

13.1. This Offer is subject to United Arab Emirates (UAE) law.

13.2. All disputes shall be resolved in courts of competent jurisdiction at the Company’s discretion.

13.3. Electronic documents/materials/correspondence and other exchange of information have legal force.

14. Changes 

The Company reserves the right to unilaterally change the terms of the Offer and its tariffs. The current version is published on the GRIDIX platform. Continued use of the GRIDIX platform constitutes the User's unconditional consent to the new version.
